End-User License Agreement

Effective July 15, 2026

This End-User License Agreement ("Agreement") is a legal agreement between you and Genesis Accel Energy ("Genesis Accel," "we," "us," or "our") governing your access to and use of gaefund.com, including its content, features, and related online services (collectively, the "Site"). By accessing or using the Site, you agree to this Agreement. If you do not agree, do not use the Site.

1. Limited License

Subject to this Agreement, Genesis Accel grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Site for your personal or internal business informational purposes. No ownership interest is transferred to you.

2. Eligibility

You must be legally capable of entering into this Agreement. If you use the Site on behalf of an entity, you represent that you have authority to bind that entity, and "you" includes that entity.

3. Prohibited Uses

You may not:

• copy, modify, distribute, sell, sublicense, or commercially exploit the Site except as expressly permitted;
• reverse engineer, decompile, or attempt to derive source code from any non-public portion of the Site;
• interfere with the Site's operation, security, or access controls;
• use automated means to access or collect Site content in a manner that burdens our systems or violates applicable law;
• submit unlawful, false, misleading, infringing, or malicious content; or
• use the Site for any unlawful or unauthorized purpose.

4. Intellectual Property

The Site, including its text, graphics, branding, design, software, and other content, is owned by Genesis Accel or its licensors and is protected by intellectual property laws. All rights not expressly granted are reserved. Third-party names and marks belong to their respective owners.

5. No Offer or Investment Advice

The Site is provided solely for general informational purposes. Nothing on the Site constitutes an offer to sell or a solicitation of an offer to buy securities, investment advice, tax advice, legal advice, or a recommendation. Any investment opportunity will be offered only through definitive offering documents and only to eligible investors. Investments involve risk, including possible loss of principal.

6. User Submissions

You represent that information you submit through the Site is accurate and that you have the right to provide it. You grant us permission to use submitted information to respond to you, evaluate your inquiry, operate our business, and exercise our rights under this Agreement, subject to our Privacy Policy.

7. Third-Party Services and Links

The Site may rely on or link to third-party services. We do not control and are not responsible for third-party content, availability, security, or practices. Your use of third-party services may be governed by separate terms.

8. Disclaimer of Warranties

To the fullest extent permitted by law, the Site is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, title, non-infringement, availability, or security. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

9. Limitation of Liability

To the fullest extent permitted by law, Genesis Accel and its affiliates, officers, employees, agents, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or opportunities, arising from or related to the Site or this Agreement. Our aggregate liability for all claims relating to the Site will not exceed one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

10. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Genesis Accel and its affiliates, officers, employees, and agents from claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your misuse of the Site, your violation of this Agreement, or your violation of another person's rights.

11. Suspension and Termination

We may suspend or terminate your access to the Site at any time if we reasonably believe you violated this Agreement, created risk or legal exposure, or threatened the Site's integrity. Sections that by their nature should survive termination will survive.

12. Governing Law

This Agreement is governed by applicable United States law and the laws of the state in which Genesis Accel has its principal place of business, without regard to conflict-of-law principles. Nothing in this Agreement limits rights that cannot lawfully be waived.

13. Changes to This Agreement

We may revise this Agreement periodically by posting the updated version on this page and changing the effective date. Continued use of the Site after changes become effective constitutes acceptance of the revised Agreement.

14. General Terms

This Agreement and the Privacy Policy constitute the entire agreement regarding your use of the Site. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign this Agreement without our consent; we may assign it in connection with our business.
